This License Agreement (“Agreement”) governs your use of the software products (“Products”) sold by Nanobox Studios, operated by Olum LLC(“we,” “us,” the “Licensor”). By purchasing, downloading, or using a Product, you (the “Licensee”) agree to these terms.

1. Definitions

  • Product, the source code, assets, and documentation delivered with a purchase.
  • Production Domain, a domain (and its subdomains) where a Product is deployed and accessible to end users.
  • License Key, the unique key issued for your purchase, bound to your account and, where applicable, a Production Domain.

2. Grant of License

Subject to payment and ongoing compliance with this Agreement, we grant you a perpetual, worldwide, non-exclusive license to use, modify, and deploy the Product as described by the tier you purchased. You own your copy of the source code; we retain all intellectual-property rights in the original Product.

3. Single-Domain License

The single-domain license permits you to:

  • Deploy the Product on one (1) Production Domain that you own or operate, for your own business.
  • Modify the source code for that deployment.
  • Use it for an unlimited number of your own end users.

The single-domain license does not permit you to:

  • Deploy the Product for third parties or clients.
  • Resell, sublicense, or redistribute the Product or its source code.
  • Operate the Product on more than one Production Domain.

4. Agency License

The agency license includes everything in the single-domain license and additionally permits you to:

  • Deploy the Product on an unlimited number of Production Domains.
  • Deploy and operate the Product on behalf of your clients.
  • White-label and rebrand the Product as your own.
  • Charge your clients for deployments built on the Product.

The agency license does not permit you to:

  • Resell or redistribute the Product’s source code as a standalone product, template, or kit (i.e., you may sell deployments and services, not the code itself).
  • Sublicense these rights to another agency or reseller.

5. Restrictions (All Tiers)

  • You may not remove or obscure license or copyright notices in the source.
  • You may not use the Product to build a directly competing marketplace of resold templates.
  • Your License Key is for your account only and must not be shared publicly.

6. Ownership & Updates

Your license is perpetual: it does not expire and is not a subscription. Updates are included for [INSERT UPDATE WINDOW, e.g. 12 months] from purchase; access to updates after that window may require [INSERT RENEWAL TERMS, IF ANY]. Continued use of versions you already received is unaffected.

7. Warranty Disclaimer

The Product is provided “as is” without warranty of any kind, express or implied, including merchantability and fitness for a particular purpose, to the maximum extent permitted under [INSERT GOVERNING LAW / JURISDICTION].

8. Limitation of Liability

To the maximum extent permitted by law, our total liability under this Agreement is limited to the amount you paid for the Product. We are not liable for indirect, incidental, or consequential damages.

9. Termination

This license terminates automatically if you breach its terms. On termination you must stop deploying the Product, though this does not affect end users of deployments made in compliance before termination, per [INSERT TERMINATION SPECIFICS].

10. Governing Law
